Warren has been a partner with Feldstein & Associates LLP since 1988. He started in public practice in 1982 working at Price Waterhouse in their small business audit group. Throughout Warren’s career he has been providing business and tax advice to private companies and their shareholders.

Warren is actively involved in ASPE review engagements and compilation engagement financial statements across many industries including:

In addition to financial statement related services, Warren provides consulting to our clients in other areas including:

  • Mergers and acquisition: Warren has assisted dozens of clients with selling their business. He has provided guidance on pre-sale tax and business planning. This service typically includes the review of letter intent, review of the agreement of purchase and sale, assisting with vendor due diligence responses to purchaser’s questions etc. Warren has also assisted dozens of clients with the purchase of a business. He has helped structure the transactions to minimize current and future taxes, helped with financial and tax due diligence, reviewed the key agreements for commercial, tax and accounting issues.
  • Capital gains exemption planning: Warren has helped many businesses structure their affairs so that they qualify for the capital gains exemption including the use of a trust to provide access to the capital gains exemption by other family members. In addition, he provides advice for methods of removing surplus assets from the operating company on a tax-efficient basis.
  • Shareholder agreements, buyouts, and disputes: Warren has helped many clients resolve shareholder problems. This has included a detailed review of the shareholder agreements to understand what rights and obligations a shareholder may have. Warren works with the client’s legal advisers to develop a strategy to solve the client’s problem.
  • Intergenerational transfer of a business: Warren has helped many clients transfer their business to their adult children and provides advice to help minimize income taxes on the disposition of the business.
  • Estate planning Many clients have benefited from Warren’s expertise at developing estate plans. A cornerstone of estate planning involves freezing the value of the client’s assets so that the portion held by the client does not grow in value. In addition, with proper planning, probate taxes can be minimized and frequently eliminated. Warren also reviews client’s wills and provides tax and other advice thereon.
  • Post-mortem planning: Warren provides advise to the executors of an estate to understand the assets owned at the time of death and the estates associated tax liabilities. He provides advice to minimize the taxes at death and provides structuring advice where the estate includes shares of private corporations.

Warren is married with two children. He is an avid sailor.

Warren graduated with a B.B.A. from York University in 1982 and received his CA designation in 1984.
